1. Appointment of Affiliate  

The Company agrees to appoint the Affiliate as a non-exclusive affiliate to promote and sell the Company’s products or services.

2. Affiliate's Duties  

The Affiliate agrees to:

• Promote the Company’s products/services using marketing materials provided by the Company.

• Comply with all applicable laws, regulations, and industry standards.

• Not engage in any misleading, fraudulent, or unethical marketing practices.

3. Commissions

The Company agrees to pay the Affiliate a commission based on number of current active enlisted members for every membership sale, additional affiliates, and individual course sales made through the Affiliate’s unique referral link. Commissions will be paid on a monthly basis.  Refer to attached Appendix A for Commission Structure.

4. Payment Terms  

Payments will be made via check within 5 days after the end of the payment period. Minimum payout threshold: $7.50.

5. Additional Benefits

This Partner/Affiliate Agreement also extends the following non-monetary benefits including, but not limited to: 

• Affiliate Sales Training - Options to Add Your Own Affiliates and Build Your Team Exponentially

• Financial Training

• Networking Opportunities Across Varied Industries & Interest Groups

• Community Building Tools

• Legacy Awakening Marketing / Advertising Campaigns

• Use of the Legacy Awakening Website

• Exposure Through Various Media Channels, such as Soul Circles & Podcasts 

• Technical and Administrative Support of the Legacy Awakening Team

6. Term and Termination  

This Affiliate Agreement will remain in effect until the Affiliate gives 30 days written notice to terminate. If the Affiliate decides to terminate membership without the required notice, any commissions that may be owed will be forfeited by the Affiliate.  If the require notice has been received, all unpaid commissions will be paid through the termination date.  Final payment will be made no more than 15 days after termination.  The Company may terminate this Agreement at any time, for any reason.

7. Independent Contractor  

The Affiliate is an independent contractor, not an employee of the Company. The Affiliate is responsible for all taxes on the commissions earned.

8. Confidentiality 

Both parties agree to maintain the confidentiality of proprietary information and not disclose it to third parties.

9. Rights to Media Content 

The Company grants the Affiliate a limited, non-exclusive, non-transferable, and revocable license to stream Company-approved media content, including but not limited to sound frequency files ("Media Content") through the Affiliate’s approved broadcast channels.  The only approved broadcast channel is the Legacy Awakening website. The Affiliate shall not for any reason alter, modify, save, share, store, or otherwise edit the Media Content. 

10. Limitation of Liability  

The Company’s liability to the Affiliate for any claims arising under this Agreement is limited to the amount of commissions earned.

11. Governing Law 

This Agreement is governed by the laws of the State of Oklahoma, United States of America.

12. Miscellaneous  

• No waiver of any breach of this Agreement shall be deemed a waiver of any subsequent breach.

• This Agreement and Appendix may be Amended at any time and notice shall be provided to the PartnerAffiliate within 5 business days of any change.

• This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements.
